CAR RENTAL AGREEMENT

WHEREAS:

Party A and Party B wish to enter into an agreement (hereinafter called the “Car rental Agreement”) for the provision of car rental services by Party A to Party B and have agreed to do so on the terms set out below:

Party A and Party B agree to enter into an agreement in which Party A shall provide a car service with driver upon Party A’s request at an agreed rental rate (cf. Car service fee).

Party A and Party B agree that they will protect each other’s best interests and maintain confidentiality. 

1: VEHICLE AND DRIVER / RENTAL RATE

Subject to the following conditions:

The above-mentioned price is to be fixed throughout the effective period of this agreement.

Running charges such as petrol, lubricant, parking and toll fees, car washing cost and any other similar incidental costs are included and will be borne by Party B ( if Gas included contract). 

3: RESPONSIBILITIES 

PARTY A:

To ensure cars are not being used for any for any illegal or immoral purpose or other business that not in singed contract.

Party B:

To be responsible at all time for the operation of the transportation service and for all liabilities.

To provide the experienced and very Basic English speaking driver and ensure that he holds and is in possession of the adequate driving license when driving guests.

To ensure drivers have a thorough knowledge of Quang Binh’s road and places. The driver will not be allowed to contact the guest/client in direct and must go through the Party A or B’s coordinator only. The driver will be using adequate dress code to pick up the guest.

To ensure that the vehicle is in proper working condition, clean (inside and outside), with cleaned and undamaged seats covers.

To cover all charges relating to running costs (car licenses...), maintenance, repairs, mechanic cleaning and driver’s salary

To ensure cars are not being used for any for any illegal or immoral purpose and to ensure that there shall not be any prejudicial act or omission affecting the reputation of Party A in the conduct of the transportation service.

To ensure that all cars have comprehensive insurance coverage including vehicle body/parts and 3rd party insurance. The cost of such insurance is included in the car rental amount quoted above.

Equipment and Amenities (If required): To ensure driver will be in possession of required signboard and amenities such mineral water, towels... provided by Party A’s client. Driver will have to pick it up at indicated address before providing the service. 

4: INVOICING & PAYMENT

The full payment is made after the contract to be signed 

5: EFFECTIVE PERIOD OF AGREEMENT

The agreement is valid for a period of 6 (six) months from signing date 

6: TERMINATION

Any non payment or consistently late payment by Party A shall be grounds for immediate termination of this agreement by Party B. 

7 DISPUTES

Any dispute between Party A and Party B shall be resolved by the representatives (or authorised persons) of Party A and Party B or in the event of a failure by such representatives to resolve such disputes, by a neutral third party agreed by the said representatives.  If a neutral party cannot be agreed, the disputes shall be resolved by a court of competent jurisdiction in Hanoi.

This Agreement is governed by the laws of the Socialist Republic of Vietnam.

This Agreement contains the entire agreement between Party A and Party B and supersedes any prior discussions or agreements, whether written or oral.

This Agreement is made into three (2) copies, which have the same value. Party A keeps one copy and Party B one as well.
